  1. Introduction

These Referral Partner Terms (“Terms”) establish an agreement between InfiniGreen Limited, a company incorporated under the laws of England, with a registered office situated at 120 Waterloo Road, Southampton, England, SO15 3BT, and company number 13760274 (“Company”), and you (“Referral Partner”), governing the referral program. By promoting our services or accepting referral commissions, you automatically agree to abide by these Terms, which will remain in full effect as long as you continue to participate in the referral program.

  1. Referral Program

As a Referral Partner, you may introduce potential customers (“Customers”) to the Company in exchange for a commission on sales generated from such referrals, as detailed in the attached Exhibit A describing the Company’s services and Exhibit B outlining the commission structure.

  1. Access and Use of Company Property

The Company grants you limited access to use its intellectual property, including logos, trademarks, and copyrights, solely for the purpose of participating in this referral program. You agree to respect the Company’s intellectual property rights and not to alter or misuse them.

  1. Referral Process

You shall introduce potential Customers to the Company following the procedures prescribed by the Company, ensuring all referrals are made in good faith.

  1. Commission and Payment

Commission payments will be made according to the terms set out in Exhibit B, based on successful sales generated from your referrals.

  1. Obligations

You agree to carry out your duties under these Terms diligently and to maintain accurate records of your referral activities, including sales generated and progress reports. You may be required to provide periodic updates to the Company.

The Referral Partner must ensure compliance with all applicable laws, regulations, and data protection requirements. The responsibility includes, but is not limited to, ensuring that any promotional or referral methods used do not violate laws relating to spam, misleading advertising, or any other illegal activities. The Referral Partner must also ensure that all data handling practices are in strict compliance with data protection laws relevant to the operations of both the Referral Partner and the Company.

  1. Independent Contractor Relationship

Your relationship with the Company under these Terms is that of an independent contractor. These Terms do not create an employment, agency, or partnership relationship between you and the Company.

  1. Subcontracting

This section specifically applies to you if you have entered into a separate subcontracting agreement (“Subcontracting Agreement”) with InfiniGreen Limited. Under such an agreement, you are granted particular provisions concerning the installation and servicing of systems for customers you have referred to the Company, in accordance with the terms of your Subcontracting Agreement.

  • First Refusal on Subcontracting Work
    • As a Referral Partner with a Subcontracting Agreement, you will be given the first opportunity to accept subcontracting work for installing and servicing systems for customers that you have referred, once these customers have paid the required deposit.
    • You will be notified of the chance to undertake subcontracting work immediately following the customer’s deposit payment.
    • You will have two (2) working days from the time of notification to accept the subcontracting work offered to you. Should you fail to accept within this period, the Company reserves the right to offer the work to its other workers or subcontractors.
    • The specific classes of labor and services for which you will be given first refusal are outlined within your Subcontracting Agreement with the Company.
  • Relationship Governed by Subcontracting Agreement
    • The terms governing any subcontracting work you undertake, including but not limited to the scope of work, payment terms, and completion criteria, will be as stated in your Subcontracting Agreement with InfiniGreen Limited.
    • The option for first refusal on subcontracting work is in addition to the conditions outlined in your Subcontracting Agreement and does not modify, supersede, or negate any of its terms.
  1. Term and Termination

These Terms are effective upon your agreement and will continue until terminated by either party with thirty (30) days’ written notice. Either party may terminate these Terms upon breach, bankruptcy, misrepresentation, or conflict of interest by the other party.

  1. Dispute Resolution

Disputes under these Terms shall be governed by the laws of England and subject to the exclusive jurisdiction of the courts of England.

  1. Amendments

The Company reserves the right to amend these Terms as may be required, with notice to you.

By participating in the referral program, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Exhibit A: Description of Services

This Exhibit outlines the services provided by InfiniGreen Limited (the “Company”), for which the Referral Partner may introduce potential customers under the terms of the Referral Partner Agreement.

Services Offered by the Company

  • Solar Panel System Installation
  • Battery Storage Systems
  • Electric Vehicle Charging Solutions

Methods for Introducing Potential Customers

The Referral Partner can adopt various methods to introduce potential customers to the Company’s services. These methods include but are not limited to:

  1. Leaflets and Marketing Materials: The Company may provide the Referral Partner with leaflets and other marketing materials that can be distributed to potential customers. The materials will contain information about the Company’s services, benefits, and contact details.
  2. Verbal Referrals: The Referral Partner is encouraged to verbally inform potential customers about the Company’s services. When doing so, they should ask the customer to mention the Referral Partner’s name when contacting the Company to ensure proper attribution of the referral.
  3. Digital Promotion: With the Company’s consent, the Referral Partner may use email, social media, or other digital platforms to share information about the Company’s services. Each digital communication should include a clear call-to-action directing potential customers to contact the Company, mentioning the Referral Partner’s name for referral tracking.

Commission Eligibility

To be eligible for a commission under the Referral Partner Agreement, referrals must lead to a completed sale of any of the listed services, as detailed in Exhibit B. A completed sale is defined as a project that has been fully delivered and paid for by the customer introduced by the Referral Partner.

The Referral Partner is responsible for ensuring that potential customers are aware of how to mention their referral source when they contact the Company to inquire about services. This is crucial for tracking and attributing commissions accurately.

Training and Support

The Company will provide the necessary training and support to the Referral Partner to ensure they have a comprehensive understanding of the Company’s services. This may include product training sessions, access to an online knowledge base, and regular updates on any new services or changes to existing offerings.

This Exhibit A forms part of the Referral Partner Agreement between InfiniGreen Limited and the Referral Partner and outlines the basis upon which commissions will be earned.

Exhibit B: Commission Structure

This Exhibit outlines the commission structure for referrals made by Referral Partners to InfiniGreen Limited (the “Company”) under the terms of the Referral Partner Agreement.

Commission Rate

  • Commission Percentage: The Commission Percentage stated in your partner welcome email.
  • The Referral Partner will receive a commission equal to the Commission Percentage of the gross profit earned on any job referred by the Referral Partner that leads to a completed sale. For the purpose of this agreement, the “gross profit” is defined as the sale price of the service to the customer minus direct costs associated with installing or delivering the service.

Commission Calculation

  • Gross Profit = Sale Price of Service – Direct Costs
  • Commission Payable to Referral Partner = Commission Percentage x Gross Profit

Payment of Commission

  • Commissions will be calculated on a project-by-project basis after the completion of the service and full payment received by the Company from the customer.
  • Commissions will be paid to the Referral Partner within 30 days following the end of the month in which the Company received full payment from the customer referred by the Referral Partner.
  • The Company reserves the right to adjust the commission in the event of refunds or adjustments made after the initial payment by the customer.

Reporting

  • The Company will provide the Referral Partner with periodic statements detailing the status of referred sales, including gross profit and commission amounts calculated.
  • The Referral Partner must notify the Company immediately if there appear to be any discrepancies noted within the commission statements.

General Terms

  • All commission payments are subject to adjustments for returns, cancellations, or disputes related to the referred customer’s transaction.
  • This commission structure is only applicable to sales of services outlined in Exhibit A of the Referral Partner Agreement.
  • The Company reserves the right to modify this commission structure with 30 days written notice to the Referral Partner.

This Exhibit B forms an integral part of the Referral Partner Agreement between the Referral Partner and InfiniGreen Limited and outlines the commission structure for the referral of customers.
